There are many considerations for both purchasers and sellers of businesses. Should the sale include the stock or membership units of the business entity itself, or just its assets? Will either party have to pay bulk sales tax in connection with the transaction? Is there goodwill being transferred along with a trade name and, if so, how is that valued? Will the seller be restricted from competing with the business and/or from soliciting its employees?
